Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Core Agents Lab platform, websites, applications, and related services (collectively, the “Service”) provided by Core Agents Lab (“Core Agents Lab,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and “you” refers to that organization. You are responsible for the activity that occurs under your account and for keeping your credentials secure.

2. The Service

Core Agents Lab provides AI-assisted tools for organizing, querying, and working with your content and connected data sources. We may update, add, or remove features over time. We may also impose usage limits or suspend features to protect the Service, comply with the law, or enforce these Terms.

3. Third-party integrations

The Service lets you connect third-party accounts and data sources, including Microsoft OneDrive and SharePoint (via Microsoft Graph), Google Drive, Google Calendar, and Dropbox (each, an “Integration”). Connecting an Integration is optional and entirely at your discretion.

  • Authorization.When you connect an Integration, you authorize Core Agents Lab to access only the data permitted by the scopes you grant through that provider’s consent screen. We access your third-party data solely to provide the features you request (for example, importing or indexing the files you select).
  • Limited use.We use data obtained through an Integration only to provide and improve the user-facing features of the Service. We do not sell this data, use it for advertising, or use it to train generalized AI/ML models. Our handling of third-party data complies with each provider’s API terms and limited-use requirements, including the Google API Services User Data Policy.
  • Your responsibility. You are responsible for ensuring you have the right to connect the accounts and data you connect, and for your own compliance with the terms of each third-party provider.
  • Revoking access.You may disconnect any Integration at any time from within the Service or from the third-party provider’s settings. Disconnecting stops further access; data already imported into your workspace is governed by Section 5.
  • No endorsement. Integrations are provided for your convenience. Core Agents Lab is not affiliated with, endorsed by, or sponsored by Microsoft, Google, Dropbox, or any other third-party provider, and we are not responsible for their services.

4. Acceptable use

You agree not to, and not to permit anyone to:

  • use the Service in violation of any applicable law or third-party right;
  • upload, connect, or process content you do not have the right to use, or that is unlawful, infringing, or harmful;
  • attempt to gain unauthorized access to the Service, other accounts, or connected systems, or to probe, scan, or disrupt the Service’s integrity or performance;
  • reverse engineer, resell, or build a competing service using the Service, except to the extent this restriction is prohibited by law; or
  • use the Service to develop or train a competing machine-learning model.

5. Your content

As between you and Core Agents Lab, you retain all rights to the content and data you provide to or connect with the Service (“Your Content”). You grant us a limited, non-exclusive license to host, process, and transmit Your Content solely as needed to operate and provide the Service to you. You are responsible for maintaining your own backups of Your Content. Upon termination, or upon your deletion of content within the Service, we will delete or de-identify the associated content in accordance with our Privacy Policy and applicable law, subject to routine backup retention.

6. Intellectual property

The Service, including its software, design, and content (excluding Your Content), is owned by Core Agents Lab and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

7. Fees

Paid plans, if any, are billed as described at the time of purchase. Unless stated otherwise, fees are non-refundable. We may change pricing prospectively with reasonable notice.

8. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AI-generated output may be inaccurate or incomplete; you are responsible for evaluating its suitability before relying on it. We do not warrant that the Service will be uninterrupted, secure, or error-free.

9. Limitation of liability

To the maximum extent permitted by law, Core Agents Lab and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the claim, or USD 100.

10. Indemnification

You will indemnify and hold harmless Core Agents Lab from any claims, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, or your violation of these Terms or any third-party right.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or its users. Sections that by their nature should survive termination (including Sections 5–10 and 13) will survive.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which Core Agents Lab is established, without regard to its conflict-of-law principles, and the courts located there will have exclusive jurisdiction over any dispute, unless applicable mandatory law provides otherwise.
